台北2026年9月15日 /美通社/ -- Analog Devices, Inc. (Nasdaq: ADI)與Alif Semiconductor宣佈，雙方已達成最終協定，ADI將以13.5億美元全現金交易收購Alif。

人工智慧正邁入新階段：模型不再侷限於解讀文本與圖像，而是開始理解語境並與實體世界互動。這個轉變要求系統能夠基於運動、聲音、振動、無線電波及熱力學等訊號進行推理，並在嚴苛的功耗、時延、安全性及可靠性約束下實現本地運行。而這正是ADI對「實體智慧」的解讀。

Alif正憑藉一個由高能效AI原生微控制器與融合處理器構成的精密平台重新定義邊緣智慧。平台採用異構架構，支援即時感測器融合、低時延推理和端側AI，為各類具有嚴苛要求的實體系統注入高階智慧。

將ADI在感知、訊號處理、電源、連接及應用軟體領域的優勢與Alif前緣數位平台相結合，有助於加速推出更完備的實體智慧解決方案。ADI與Alif的攜手，將協助客戶因應更廣泛、更複雜的系統級挑戰。

交易詳情

根據雙方董事會已批准的協定條款，ADI將向Alif股東支付13.5億美元的前期現金對價，具體以最終協定條款為準。此外，ADI還可能支付最高2億美元的額外或有對價。該交易預計將於2026年底前完成，具體取決於慣常的交割條件，以及修訂版《1976年哈特-斯科特-羅迪諾反壟斷改進法案》(Hart-Scott-Rodino Antitrust Improvements Act of 1976) 規定的適用等待期（及其任何延期期限）屆滿。
