Head of Company Secretarial Service

Company Overview

Key Responsibilities

  • Organize and attend board meetings, audit committee meetings and shareholders’ meetings, including preparing agendas, handling logistics and drafting minutes.
  • Maintain a comprehensive database of directors’ biographies and profiles, ensuring all information is up-to-date and accessible.
  • Coordinate the onboarding process for new directors, including orientation and training on corporate governance practices.
  • Support the renewal of the company’s corporate memberships and directors' memberships with different industry associations.
  • Handle a full spectrum of company secretarial services for the listed companies and private companies within the group, including maintaining accurate statutory records and attending to SFO and other statutory filings.
  • Work with in-house legal team to ensure compliance with the Listing Rules, Takeovers Code, Companies Ordinance, Securities & Futures Ordinance and other applicable legislations and regulations, including analyzing Notifiable and Connected transactions, preparing size tests, annual and interim reports and results announcements.
  • Stay updated on the latest corporate governance requirements and best practices and updating internal policies and practices to ensure compliance and enhance governance practices.

Qualifications

  • Bachelor's degree and HKCGI or CGI membership.
  • Minimum of 15 years of experience in company secretarial roles with a significant focus on listed companies.
  • Strong knowledge of corporate governance, compliance, and statutory requirements.
  • Proven leadership skills with the ability to manage and develop a team.
  • Excellent communication, organizational, and interpersonal skills.
  • High attention to detail and ability to work under tight deadlines.
